1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the services provided by Startup IT Solution ("Company", "we", "us", or "our"). By accessing, browsing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Description

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. Service availability may vary based on client requirements and technical considerations.

3. Client Responsibilities

3.1 Account Information

You are responsible for:

• Providing accurate, current, and complete information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly updating your information when necessary

3.2 Content and Materials

You warrant that:

• All materials provided to us are your property or you have legal rights to use them
• Content does not infringe upon any third-party rights
• Materials are free from viruses, malware, or harmful code
• Content complies with applicable laws and regulations

3.3 Prohibited Activities

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon our intellectual property rights
• Transmit any worms, viruses, or destructive code
• Interfere with or disrupt the integrity of our services

4. Payment Terms

4.1 Pricing Structure

4.2 Late Payments

Late payments may result in:

• Service suspension or termination
• Late fees of 2% per month on overdue amounts
• Legal action for recovery of dues

4.3 Currency and Taxes

All prices are in Indian Rupees (INR) unless specified otherwise. Applicable taxes will be added to all invoices as per Indian tax regulations.

5. Intellectual Property

5.1 Client Materials

All materials, content, and data provided by the client remain the exclusive property of the client. We claim no ownership rights over client-provided materials.

5.2 Company Intellectual Property

We retain all rights to:

• Our proprietary tools, software, and methodologies
• Pre-existing code, libraries, and frameworks
• Business processes and operational systems
• Company branding, logos, and marketing materials

5.3 Project Deliverables

Upon full payment of all fees:

• Client receives ownership of final deliverables as specified in the agreement
• Source code for custom developments will be transferred
• We retain the right to use anonymized project data for portfolio purposes

6. Confidentiality

Both parties agree to:

• Protect confidential information with reasonable care
• Use confidential information only for project purposes
• Not disclose information to third parties without consent
• Return or destroy confidential information upon request

Confidentiality obligations survive termination of these Terms for a period of 5 years.

7. Limitation of Liability

7.1 Scope of Liability

To the maximum extent permitted by law, Startup IT Solution shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Data loss or corruption
• Third-party claims or actions

7.2 Maximum Liability

Our total liability for any claim shall not exceed the total amount paid by the client for the specific service in the 6 months preceding the claim.

7.3 Exceptions

These limitations do not apply to:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded by law

Performance Guarantee: While we strive for optimal results, we do not guarantee specific rankings, traffic numbers, or conversion rates due to variables beyond our control.

9. Termination

9.1 Termination Rights

Either party may terminate services by providing 30 days written notice. Immediate termination may occur for:

• Material breach of these Terms
• Non-payment of fees
• Illegal or fraudulent activities
• Violation of intellectual property rights

9.2 Effects of Termination

Upon termination:

• Client pays for all work completed up to termination date
• We deliver all completed work and materials
• Client returns all confidential information
• Outstanding invoices become immediately due

9.3 Survival

The following sections survive termination: Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law.

10. Refund Policy

11. Third-Party Services

Our services may utilize third-party platforms including:

• Web hosting providers
• Domain registrars
• Payment gateways
• Analytics tools
• Social media platforms
• Software libraries and frameworks

We are not responsible for:

• Third-party service interruptions or downtime
• Changes in third-party terms of service
• Third-party pricing changes
• Compatibility issues with third-party services

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

12.2 Jurisdiction

Any legal action or proceeding shall be subject to the exclusive jurisdiction of the courts in Varanasi, Uttar Pradesh, India.

12.3 Dispute Resolution Process

1. Negotiation: Parties shall attempt to resolve disputes through good-faith negotiation for 30 days
2. Mediation: If negotiation fails, parties shall attempt mediation through a neutral third party
3. Arbitration: Unresolved disputes shall be settled by binding arbitration in Varanasi
4. Litigation: As a last resort, parties may pursue legal action in the designated courts

12.4 Class Action Waiver

Both parties waive any right to participate in class action lawsuits or class-wide arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be:

• Posted on this page with updated effective date
• Communicated to active clients via email
• Effective immediately for new clients
• Effective 30 days after notification for existing clients

Continued use of our services after changes constitutes acceptance of the modified Terms.
